Our Transactions and M&A practice is led by Partner Dinh Quang Vinh, a CFA charterholder. Corvane has taken part in more than 120 due diligence, acquisition, merger and restructuring engagements, most of them in the mid-market, where investors need a team with a deep understanding of the books and day-to-day operations of Vietnamese businesses.
Scope of services
- Buy-side due diligence: quality of earnings, working capital, debt and debt-like items, latent tax exposures, licences, key contracts and employment.
- Vendor readiness: a review before the data room opens, remediation of fixable issues, information memoranda and financial projections.
- Valuation: valuations for negotiations, fundraising, internal transfers or family asset division, with methods and assumptions set out transparently.
- Restructuring: reorganising legal entities, mergers, demergers and succession within family groups.
- Post-deal support: 100-day plans, integration of accounting systems, tax finalisation and governance alignment.
How we work
Each engagement has a multidisciplinary team of financial specialists, tax advisers and lawyers, coordinated by a Partner. In the first week we agree with the client which issues matter most to the investment decision, so effort is focused on what truly affects price and contract terms. Findings are updated weekly through a short call and a shared tracker; potentially significant issues are raised immediately rather than held for the final report.
Deliverables and timelines
- A typical financial and tax due diligence takes four to eight weeks, depending on size and the readiness of data.
- An executive summary of no more than ten pages for decision-makers, with a detailed report and data appendices.
- Recommendations for the sale and purchase agreement: conditions precedent, representations and warranties, price adjustment mechanisms and retentions.
- A valuation report with sensitivity analysis on the key assumptions.
Due diligence is not about finding reasons to walk away; it is about both sides signing with the same picture of the risks.
Why Corvane
Because accounting, tax and legal work is what Corvane does every day, we can read what sits behind the numbers: an expense booked in the wrong period, a tax incentive with conditions attached, a land lease about to expire. All deal documents are held in an access-controlled data room managed under ISO 27001, and the identities of the parties are known only to those directly involved. We set out the risks and the options; the investment decision always remains the client's.
